Annual General Meeting of Shareholders and Public Expose 2023

 

 

Jakarta, 8th May 2023. PT Sawit Sumbermas Sarana Tbk (SSMS) today held its Annual General Meeting of Shareholders followed by a Public Expose, which took place at the Financial Hall, Graha CIMB Niaga, Jakarta.

 

The agenda of the AGMS is:

 

1. Approval of Annual Report and Annual Financial Report for Financial Year 2022

2. Approval of the Use of the Company's Net Profit for Fiscal Year 2022

3. Approval of the Appointment of a Public Accountant and/or Public Accounting Firm for Financial Year 2023

 

The meeting continued with the 2023 annual Public Expose agenda.

Amidst the various challenges faced throughout 2022, SSMS managed to record a good performance. Almost all business segments showed an increase compared to the previous year. From the Fresh Fruit Bunches (FFB) segment, the Company recorded a production volume of 1,755,970 metric tons, an increase of 9% from the previous year of 1,611,494 metric tons. When compared to the target stated in the 2022 Budget, FFB production volume reached 96% of the target.

 

Palm Oil (CPO) production recorded an increase of 14.25% or 508,100 metric tons compared to the previous year of 444,720 metric tons. There was also an increase in Palm Kernel (PK) production volume by 16.28% from 83,438 metric tons in 2021, to 97,019 metric tons in 2022. However, there was a decrease in Palm Kernel Oil (PKO) by 19.50% from 22,360 metric tons in 2021 to 18,726 metric tons.

 

In terms of sales, SSMS was recorded to have sold FFB in 2022 of IDR 228.08

billion increased 61.09% compared to the previous year of Rp141.59 billion. Meanwhile, CPO sales also increased by Rp6.30 trillion or 42.86% compared to the previous year of Rp4.41 trillion.

 

From the Income Statement and Other Comprehensive Income, the Company posted a sales volume of Rp7.26 trillion, an increase of 39.63% compared to the previous year of Rp5.20 trillion. The increase in the Company's total sales was mainly due to the increase in selling prices of palm oil, palm kernel, and palm kernel oil due to an increasing trend in palm oil prices during the period January to April 2022, although in the period from May to December 2022 there was a downward trend in prices and demand for palm oil caused by DMO (Domestic Market Obligation) regulations imposed by the Indonesian government.

 

Commitment to Protect the Environment is the Key to SSMS's Success in Realizing Sustainable Palm Oil

 

SSMS always carries out sustainable business practices and maintains and maintains the conditions of the surrounding environment. This effort is reflected in various sustainability standards and certifications that have been owned by the Company, both locally and internationally, including ISO 14001:2015 Environmental Management System, Environmental Management Performance Assessment (Proper), Indonesian Sustainable Palm Oil (ISPO) and Roundtable on Sustainable Palm Oil (RSPO).

 

Commitment to certify business units, not only as compliance with regulations but as a form of determination and sincerity in order to realize good governance and minimize negative impacts on the environment, namely no deforestation, no new planting on peatlands and no burning and implementing NDPE (No Peat, Deforestation and Exploitation) policies in carrying out sustainable palm oil practices.

 

To ensure business continuity, SSMS makes every effort to manage and protect high conservation value areas, forests and peatlands throughout its operations. Specifically for peat areas, SSMS collaborates with external consultants to identify the distribution of peat areas, peat maturity and depth levels, and recommendations for monitoring in the management of areas categorized as peat areas in accordance with government regulations.

 

In order to reduce carbon emissions that have an impact on global warming, SSMS encourages the implementation of environmentally friendly operations, namely the use of renewable energy sources through the use of fiber and palm kernel shells as alternative power plants. Another initiative carried out by SSMS, since 2018 has operated a Biogas plant with a capacity of 2.4 megawatts of electricity that can capture Methane gas from palm oil mill effluent and convert it into renewable energy sources.

 

SSMS also ensures that waste management is carried out responsibly in accordance with the licensing rules of the Government of Indonesia. All waste from plant management is 100% reused such as the use of liquid waste (POME) and jangkos to minimize the use of chemical fertilizers (pesticides).

By utilizing palm oil waste as an alternative energy source, SSMS can gradually realize climate change handling and energy independence. Not only can it meet internal energy needs, but it can also help electricity needs in the communities around the company.

 

To prevent or minimize the risk and impact in the event of forest fires, SSMS actively monitors fire hotspots, implements early warning and early detection systems and provides fire simulation training to operational employees. SSMS also involved the surrounding community by forming Fire Care Farmer Groups (KTPA) and Fire Care Communities (MPA). Currently there are 8 MPAs and 1 KTPA with 135 members, the Company routinely provides training and simulation training and provides PPE and fire extinguishers.

 

2023 is SSMS's great commitment to environmental conservation efforts, SSMS together with 5 Forest Farmer Groups (KTH) in Central Kalimantan establish partnerships in the field of community forest protection. Through this partnership, SSMS contributes to preserving areas with high conservation value and biodiversity in the area, considering the potential threat of high destruction due to forest burning, encroachment and illegal logging.

 

Meanwhile, our synergy with environmental and conservation NGO Borneo Orangutan Survival Foundation (BOSF) has successfully released 49 individuals from Salat Island to the National Park. We realize the importance of an environment with biodiversity that must be maintained properly, this is an important aspect of the Company's Sustainability Policy.

 

SSMS through these sustainability commitments and initiatives, ensures that sustainability policies can be consistently implemented both internally, and ensures that these policies are implemented by all suppliers of the Company.

 

SSMS is optimistic that the long-term sustainability of the palm oil business will be guaranteed and strives to make the Company a green industry with sustainable business processes that still pay attention to environmental and social aspects, not just economic aspects.

 

AGMS Results

 

The meeting chaired by the Board of Commissioners stated that the majority of shareholders had approved the entire agenda of today's AGM, President Commissioner of SSMS Bungaran Saragih stated, the Board of Directors is expected to implement what has been approved by the mandate of the AGMS. With Sustainable Commitment, various challenges have been successfully passed by SSMS. This challenge is a lesson that will make SSMS stronger in the future.

 

The Board of Commissioners also expresses its gratitude to the Shareholders for their trust and support, so that the Board of Commissioners can carry out its duties and responsibilities properly. We also express our appreciation to all stakeholders who have given trust to the Company. Hopefully this good cooperation can continue and be improved in the future.
